Terms of Use

The terms that govern this site. The short version: nothing published here is an offer of credit, every figure is illustrative and subject to underwriting, and you can opt out of arbitration within 30 days.

1. Acceptance

By accessing this website or submitting an application, you agree to these Terms of Use. If you do not agree, do not use the site.

2. Nothing on this site is an offer

Read this one. Nothing on this site is an offer, commitment, or guarantee of funding. Every amount, term, timeline and estimator output shown anywhere on this site is illustrative and subject to underwriting.

Criteria published on this site describe what we generally require to consider a file. They do not create a right to funding, and meeting them does not guarantee approval. Representative examples, including the funding estimator and every dollar figure on a product page, are illustrations only. Your actual amount, total payback, payment and schedule are set by underwriting your business bank statements and, on credit-qualified products, your credit, and are stated in your offer and contract.

3. Eligibility

You must be at least 18 years old, an authorized signer for the business you are applying on behalf of, and operating a business formed and banking in the United States.

4. Accuracy of the information you submit, and your authorization to verify it

You represent that everything you submit is true, accurate and complete, and that you are authorized to submit it. You authorize Prepline Capital and its affiliates and service providers to verify it, including by contacting your bank, your landlord, your processor, your references and public records, and by using identity verification and fraud prevention services.

5. Credit authorization

You authorize Prepline Capital to obtain business credit reports on the applying entity at any time while an application or a funded transaction is open. On credit-qualified products — a line of credit, a term loan, or SBA — you authorize a personal credit report on each owner and guarantor. We tell you before a personal credit pull occurs. Submitting the application by itself does not trigger one.

6. E-SIGN consent

In one line: you agree to sign and receive documents electronically, and you can withdraw that consent and ask for paper.

You consent to receive contracts, disclosures, notices and other records electronically, and to sign them with an electronic signature, which has the same legal effect as a handwritten one. To access and keep electronic records you need a current browser, an internet connection, a valid email address, and the ability to view and save PDF files. You may withdraw consent or request a paper copy at no charge by calling (888) 896-5559 or writing to Prepline Capital, 9719 S Dixie Hwy #8, Miami, FL 33156; withdrawing consent may delay or prevent electronic processing of your file.

7. Intellectual property

The site, its copy, its layout, its data tables and its code are owned by Prepline Capital and protected by copyright and other laws. You may read, print and quote the site with attribution. You may not scrape it for commercial resale, copy it wholesale into a competing site, or present it as your own.

8. Third-party marks

Toast, Square, Clover, DoorDash, Aloha, Oracle Micros, Lightspeed, SpotOn, TouchBistro and all other marks referenced on this site are the property of their respective owners. Reference to a point-of-sale or delivery platform is descriptive and does not imply any affiliation, sponsorship, or endorsement in either direction.

9. Acceptable use

Do not submit another person’s information without authority, submit falsified bank statements or identity documents, attempt to access accounts or data that are not yours, probe or load-test the site, or use the site to break the law.

10. No warranties

The site is provided “as is” and “as available.” To the fullest extent permitted by law, Prepline Capital disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the site will be uninterrupted, error-free, or that any figure shown on it will match your offer.

11. Limitation of liability

To the fullest extent permitted by law, neither Prepline Capital nor its affiliates, officers, employees or agents is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising out of your use of the site. Our aggregate liability arising out of or relating to the site is limited to one hundred U.S. dollars ($100). This section does not limit liability that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold harmless Prepline Capital and its affiliates from any claim, loss or expense, including reasonable attorneys’ fees, arising out of information you submitted, your breach of these Terms, or your misuse of the site.

13. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Venue for any matter not subject to arbitration lies in Miami-Dade County, Florida.

14. Dispute resolution and arbitration

You can opt out. You have 30 days from first accepting these Terms to opt out of arbitration, in writing, and nothing bad happens to your file if you do.

Except as stated below, any dispute arising out of or relating to these Terms or the site will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Miami-Dade County, Florida. The arbitrator decides all issues except the enforceability of the class waiver, which is for a court. Claims are brought individually; class, collective and representative proceedings are waived.

How to opt out: send written notice within 30 days of first accepting these Terms to Arbitration Opt-Out, Prepline Capital, 9719 S Dixie Hwy #8, Miami, FL 33156, stating your name, your business name and that you opt out. Opting out has no effect on your application, your offer, or any funded transaction.

Either party may bring an individual action in small claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.

15. Severability

If any provision is held unenforceable, the rest remains in force and the unenforceable provision is modified to the minimum extent needed to make it enforceable.

16. Changes

We may update these Terms. The effective date at the top of this page reflects the current version. Continued use of the site after a change means you accept it.
